The reason for this question is, there are some businesses which have foreign ownership restrictions. The purpose of this evaluation sheet is to determine Philippine legal requirements.
If you wish to register a company in the Philippines, what exact business activity will this company do here?
Note: The reason for this question is, the Philippine Securities and Exchange Commission does not accept broad and vague business purposes – it will just deny the application if the business purpose is not precise and clear.
In responding, please note that:
1. Please be as specific as possible and provide as much detail and description as possible.
For foreigners: It need not be the same activity as what your foreign company is doing. For example, a foreign credit card company may establish a Philippine subsidiary/company not to sell credit cards but to act as offshore call center to credit card holders in a foreign country. In this case, the foreign company’s business is different from the Philippine business.
2. Please refrain from using industry-specific acronyms. It is highly advisable to just describe it on very basic description (i.e. plain English) as this will help us determine the exact nature of your intended business in the Philippines. For example, do not just say “online business” or “fintech” as that only means using technologies in the finance industry, but does not really describe the business. It should be fintech lending business or fintech credit scoring business. Using the word “technology” by itself also does not specify the exact nature of business.
While we are interest in the “why” (e.g. mission/vision), it is more important for us to know the “how” (e.g. also indicate if you are selling a service (e.g. consulting) or a product to achieve the “why”)
